All terms refer to the offer, use, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, in respect of provision of the Company's stated services/products. Client records are regarded as confidential and therefore will not be divulged to any third party, other than Scribd if legally required to do so to the appropriate authorities. Clients have the right to request sight of, and copies of any and all Client Records we keep, on the proviso that we are given reasonable notice of such a request. Clients are requested to retain copies of any literature issued in relation to the provision of our services.

We will not sell, share, or rent your personal information to any third party or use your e-mail address for unsolicited mail. Any emails sent by this Company will only be in connection with the provision of agreed services and products.

NoteCut assumes no responsibility for monitoring NoteCut for inappropriate Content or conduct. If at any time NoteCut chooses, in its sole discretion, to monitor NoteCut, NoteCut nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content.
• You are solely responsible for the Content that you post. NoteCut does not endorse and has no control over such Content. Content is not necessarily reviewed by NoteCut prior to posting and does not necessarily reflect the opinions or policies of NoteCut. NoteCut makes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any material or information that you transmit to other Members.

This company has no liability for injury or death due to negligence. The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer are affected.

Content and Proprietary Rights

• Any information provided, content posted, accessed, or used may not include the following items: telephone numbers, street addresses, and any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, information provided by other NoteCut members may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and NoteCut assumes no responsibility or liability for this material. If you become aware of misuse of the NoteCut Services Report it by flagging it or notifying us at contact@notecut.com. NoteCut reserves the right, in its sole discretion, to reject, refuse to post or remove any posting by you, or to reTransitional, suspend, or terminate your access to all or any part of the NoteCut Services at any time, for any or no reason, with or without prior notice, and without liability.
• NoteCut does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "Content") that you post to NoteCut. After posting your Content to NoteCut, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. By posting any Content on or through NoteCut, you hereby grant to NoteCut a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content solely on and through NoteCut. NoteCut does not own any posted materials nor authorize the resale of any posted materials.
• The license you grant to NoteCut is non-exclusive (meaning you are free to license your Content to anyone else in addition to NoteCut), fully-paid and royalty-free (meaning that NoteCut is not required to pay you for the use on NoteCut of the Content that you post), sublicensable (so that NoteCut is able to use its affiliates and subcontractors such as Scribd), and worldwide (because NoteCut is global in reach). This license will terminate at the time you remove your Content from NoteCut.
• You represent and warrant that: (a) you own the Content posted by you on or through NoteCut or otherwise have the right to grant the license set forth in this section, and (b) the posting of your Content on or through NoteCut does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any Content posted by you to or through NoteCut.
• Prohibited Posts: The following is only a partial list, but not limited to content that is prohibited or illegal in the sole discretion of NoteCut.
  • is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
  • includes a photograph of another person that you have posted without that person's consent that is not directly connected to academic content of the post
  • harasses or advocates harassment of another person;
  • exploits people in a sexual or violent manner;
  • contains nudity, violence, or offensive subject matter or contains a link to an adult website;
  • promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
  • involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;
  • solicits personal information from anyone under 18;
  • provides any telephone numbers, street addresses, last names, URLs or email addresses;
  • promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
  • furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
  • involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";
  • contains reTransitionaled or password only access pages or hidden pages or images (those not linked to or from another accessible page);
  • solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
  • criminal or tortious activity, child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, spimming, stalking, spamming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;
  • advertising to, or solicitation of, any Member to buy or sell any products or services through NoteCut. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from NoteCut in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent;
  • interfering with, disrupting, or creating an undue burden on NoteCut or the networks or services connected to NoteCut;
  • selling or otherwise transferring your profile;
  • using NoteCut in a manner inconsistent with any and all applicable laws and regulations.

NoteCut reserves the right to investigate and take appropriate legal action against anyone who violates these provisions.

Availability
You are solely responsible for evaluating the fitness for a particular purpose of any downloads, programs and text available through this site. The Company does not warrant that the service from this site will be uninterrupted, timely or error free, although it is provided to the best ability. By using this service you thereby indemnify this Company, its employees, agents and affiliates against any loss or damage, in whatever manner, howsoever caused. NoteCut does not authorize the use or reprinting of its name, design, or trademark. NoteCut is not responsible for the conduct, whether online or offline, of any User of NoteCut.

Eligibility
Use of and Membership in the NoteCut Services is void where prohibited. By using the NoteCut Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 14 years of age or older; and (d) your use of the NoteCut Services does not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if we believe that you are under 14 years of age. It is the users responsibility to ensure notes posted are authorized. . This Agreement shall remain in full force and effect while you use the NoteCut Services or are a Member. You may terminate your Membership at any time, for any reason. NoteCut may terminate your Membership at any time, without warning.

Fees
You acknowledge that NoteCut reserves the right to charge for the NoteCut Services and to change its fees from time to time in its discretion. If NoteCut terminates your Membership because you have breached the Agreement, you shall not be entitled to the refund of any unused portion of subscription fees.

Account
When you sign up to become a Member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify NoteCut immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

Non-commercial Use
The NoteCut Services are for the personal use of Members only and may not be used in connection with any commercial endeavours except those that are specifically endorsed or approved by NoteCut. Illegal and/or unauthorized use of the NoteCut services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the NoteCut Website is prohibited. Appropriate legal action will be taken for any illegal or unauthorized use of NoteCut.

U.S. Export Controls
Software available in connection with NoteCut is further subject to United States export controls. No Software may be downloaded from NoteCut or otherwise exported or re-exported in violation of U.S. export laws. Downloading or using the Software is at your sole risk.

Log Files
We use IP addresses to analyse trends, administer the site, track user's movement, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information. Additionally, for systems administration, detecting usage patterns and troubleshooting purposes, our web servers automatically log standard access information including browser type, access times/open mail, URL requested, and referral URL. This information is not shared with third parties and is used only within this Company on a need-to-know basis. Any individually identifiable information related to this data will never be used in any way different to that stated above without your explicit permission.

Waiver
Failure of either Party to insist upon Transitional performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.

General
The laws of Colorado govern these terms and conditions. By accessing this website and using our services/buying our products you consent to these terms and conditions and to the exclusive jurisdiction of the Colorado courts in all disputes arising out of such access. If any of these terms are deemed invalid or unenforceable for any reason (including, but not limited to the exclusions and limitations set out above), then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply. You agree to indemnify and hold NoteCut, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of NoteCut in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on or through NoteCut causes NoteCut to be liable to another.

Revisions
The Company reserves the right to change these conditions from time to time as it sees fit and your continued use of the site will signify your acceptance of any adjustment to these terms. The failure of NoteCut to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. This Agreement operates to the fullest extent permissible by law.
